ING WB Legal, Amsterdam supports business units both locally and abroad and in addition to transaction support, promotes (product) innovation, implementation of relevant laws and regulations, international co-operation and harmonization of processes and products.

The Team

An international team of 12 enthusiastic lawyers with a global experience in capital markets with a virtual team of legal colleagues in London, Brussels, Singapore, New York, and Frankfurt;. Other members of the Legal CM&T team provide support to the Bank's securitization, treasury, and corporate finance operations.Our team is part of ING WB Legal, supporting ING wholesale business lines, and our department consists of approximately 70 lawyers. 

Roles and responsibilities

  • You will be responsible for advising the DCM, ECM, and CF bankers on legal and documentation matters related to bond issues, IPOs, secondary offerings, share buybacks, etc.;

  • You will support the issuance of vanilla and structured products for public and private investors;

  • Answer a wide variety of questions from bankers and outside counsel that arise during a transaction;

  • Drafting of contracts such as NDAs, Engagement Letters, and Final Terms for private placements;

  • Review and negotiate underwriting agreements, subscription agreements, legal opinions, comfort letters, and other transaction documents;

  • Horizon scanning of regulatory developments regarding MIFID, MAR, ESG, and others;

  • Contact and instruct external parties, such as outside legal counsel; and

  • Identify and manage legal risk;

  • Minimum experience of 4-8 years as a lawyer or in-house counsel at a bank in the field of capital markets in the broadest sense;

  • a Master’s degree in Law from a reputable university (Dutch law not required, our teams house lawyers educated in a wide range of jurisdictions);

  • Transaction management skills;

  • Proven ability to work in larger teams/organizations;

  • Strong analytical skills and is pragmatic, flexible, and a good communicator; 

  • Excellent verbal and written communication skills in both Dutch and English; and

  • The ability to prioritize multiple projects and deadlines in a fast-paced work environment.
